On September 8, 2026, Qualcomm announced a multi-generation collaboration with Amazon on customized silicon and AI inference for AWS data center infrastructure. The same day, Qualcomm filed a Form 8-K disclosing a warrant for up to 25 million shares, with vesting tied to commercial arrangements, orders and purchases involving as much as $60 billion in payments.

Qualcomm issued the warrant on September 3 to Amazon.com NV Investment Holdings LLC, an Amazon affiliate. It carries an exercise price of $161.26 per share. Of the total, 3.75 million shares vested at issuance based on initial purchase commitments.

The warrant relates to Amazon purchases of Qualcomm Technologies server chip products, technology, systems and manufacturing services. It permits cashless exercise and expires on September 3, 2036. Until exercised, it gives the holder no voting or other stockholder rights. Qualcomm expects to file a resale prospectus supplement with the Securities and Exchange Commission to register the warrant shares.

The companies will also develop optical connectivity for Amazon data center networks, including connections up to 1.6T and later generations. Qualcomm said the work will use its SerDes and optical DSP technologies to support high-bandwidth links within those networks.

Qualcomm Technologies also plans to increase its use of AWS AI infrastructure, including Amazon Bedrock, for electronic design automation workloads. The company is targeting shorter chip design cycles.

The agreement adds AWS to Qualcomm’s stated data center work. In October 2025, Qualcomm introduced AI200 and AI250 accelerator cards and racks for large-language, multimodal and other AI inference workloads. It expected AI200 availability in 2026 and AI250 availability in 2027.

In June 2026, Qualcomm announced a separate multi-generation agreement to supply Dragonfly C1000 data center CPUs for Meta’s next-generation server fleet, with production scheduled to start in the second half of 2028. Qualcomm classified Data Center as a nonreportable business in fiscal 2025, when the company recorded revenue of $44.284 billion.
