NVIDIA entered a definitive agreement on Sept. 2, 2026, to buy Hugging Face for $12,930,300,000, the company said. NVIDIA said the platform’s more than 18 million developers, researchers and creators collectively share more than 3 million models, 500,000 datasets and 1 million applications.

It said more than 200,000 companies use Hugging Face to discover, evaluate, customize and deploy AI.

NVIDIA said developers will remain free to choose their models, frameworks, clouds, inference providers and computing platforms. It also said builders will not have to use NVIDIA compute to build on Hugging Face or deploy through it.

The company said Hugging Face will continue supporting open-source and open-weight models from every model builder, along with development and deployment across multiple clouds and accelerators. In a Sept. 3 post on X, NVIDIA said it would help the platform and its community grow while retaining openness, neutrality and choice. That post quoted a Hugging Face post linking to NVIDIA’s acquisition blog.

NVIDIA made more specific commitments in its Form 8-K. The company told the SEC that Hugging Face would continue allowing users to upload and download models and datasets of their choosing and would keep supporting other silicon vendors.

About $11.9 billion of the transaction price would go to Hugging Face stockholders, subject to adjustments. An equity-based retention program of up to about $1.0 billion would cover Hugging Face employees who join NVIDIA.

NVIDIA expects the acquisition to close in the first half of 2027 if customary closing conditions are met, including regulatory approvals.

NVIDIA said it is Hugging Face’s largest contributor of open models and data, with more than 500 models and more than 250 open datasets on the platform. NVIDIA chief executive Jensen Huang said the Hugging Face team would continue under the same brand.

Hugging Face’s website said the company intends to join forces with NVIDIA. Co-founder and chief executive Clem Delangue said NVIDIA had committed to keeping the platform open, independent and compatible with different computing systems. He said the founders and team are staying and that the companies aim to help 100 million AI builders.

Delangue said Hugging Face approached Jensen Huang because scaling open-source AI required more compute, support, collaboration and visibility.
